Knox Historical Society
CONSTITUTION
as adopted by the membership on February 2, 2010
ARTICLE I Name
The name of the organization shall be the Knox Historical Society, whose official mailing address is P.O. Box 11, Knox, NY 12107.
ARTICLE II Purpose
The purpose of the Society shall be the discovery, preservation, and dissemination of knowledge about the history of the Town of Knox in the State of New York. More particularly, its objectives shall be:
Section 1. To discover and collect any material which may help to establish or illustrate the history of its exploration, settlement, development, and activities in peace and in war, and its progress in population, wealth, education, arts, science, agriculture, manufactures, trade, and transportation; printed material such as histories, genealogies, biographies, descriptions, gazetteers, directories, newspapers, pamphlets, catalogues, circulars, handbills, programs, and posters; manuscript materials such as letters, diaries, journals, memoranda, reminiscences, rosters, service records, account books, charts, surveys, and field books; and museum materials such as pictures, photographs, paintings, portraits, scenes, Native American artifacts, and material objects illustrative of life, conditions, events, and activities in the past or the present.
Section 2. To provide for the preservation of such materials and to make them accessible, as far as may be feasible, to all who wish to examine or to study them; to cooperate with local officials in ensuring the preservation and accessibility of the records and archives of the community and its institutions; to conduct archaeological investigations of aboriginal or pioneer sites in the locality; and to bring about the preservation of historic buildings, monuments, and markers.
Section 3. To disseminate historical information and promote a continuing interest in the past by publishing historical materials in the newspapers, on the Internet, or otherwise; by holding meetings which include lectures, exhibits, papers, and discussions; by marking historic buildings, sites, trails, and places of local historical significance.
ARTICLE III Membership
Section 1. Membership shall be of four classes as listed below:
Individual Member: Any individual interested in the purposes of the Society.
Family Member: Any family group interested in the purposes of the Society.
Institutional Member (non-voting): Any organization, board, school, or library interested in the objectives of the Society.
Contributing and Sustaining Member (non-voting): Any person, group, or business offering special support to the objectives of the Society.
ARTICLE IV Annual Meeting
Section 1. There shall be an annual meeting of the members of the Society on the first Tuesday of May.
Section 2. Notice of the time and place of holding the annual meeting shall be communicated to each member at least ten (10) days previous thereto, using the member’s preferred method of communication.
ARTICLE V Officers and Board of Trustees
Section 1. The Officers of the Society shall consist of President, Vice-President, Secretary, and Treasurer, who shall be elected for a term of one (1) year.
Section 2. The Board of Trustees of the Society shall consist of seven (7) Trustees, which consists of the aforementioned Officers and three (3) Trustees, each of whom shall be elected for a term of one (1) year.
Section 3: The Officers shall also serve as officers of the Board of Trustees.
ARTICLE VI Election of Officers and Board of Trustees
Section 1: A nominating committee of three (3) shall be appointed by the Board of Trustees not less than two (2) months prior to the annual meeting. This committee shall present a slate of candidates for Officers and Trustees that will be communicated to the members with the annual meeting notice. Nominations will also be accepted from the floor. A candidate for election shall be a voting member.
Section 2. All Officers and Trustees shall be elected at the annual meeting by majority vote of the voting members present for a term of one (1) year or until new Officers and Trustees are elected. Votes shall be cast by secret ballot in the event that an office is contested.
Section. 3. The voting members present at the annual meeting shall first elect a President, Vice-President, Secretary, and Treasurer who shall serve concurrently as Trustees.
Section 4. The voting members present shall then elect three (3) Trustees.
Section 5. If a vacancy occurs among the Officers or in the Board of Trustees, the vacancy shall be filled for the unexpired term by the voting membership at the next regular meeting.
Section 6. Officers and Trustees elected shall take office at the close of the meeting at which they are elected.
ARTICLE VII Amendment
Section 1. This Constitution may be amended at any regular meeting of the Society by a two-thirds vote of the voting members present, providing that content of the proposed amendment and notice were given at the previous meeting.
Section 2. This Constitution may be amended at any special meeting of the Society by a majority vote of the voting members present providing that ten (10) days previous notice of the meeting and content of the proposed amendment have been given.
Section 3. All proposed amendments shall be submitted to the membership in writing.
Section 4. This article shall not apply to Article VIII hereof relating to Dissolution. Article VIII will not be amended or repealed, so long as the Society shall be in existence.
ARTICLE VIII Dissolution of the Society
Section 1. In the event of dissolution of the Society, no member shall be entitled to any distribution or division of its remaining property or its proceeds. If assets remain for distribution the trustees hereby request Regents approval of the distribution of the corporation’s assets to appropriate charitable corporations as decided upon by the Society.
